Terms of Service

Last updated: April 2025. These Terms of Service govern your use of the Odaly marketplace platform.

1. Acceptance of Terms

By accessing or using Odaly ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use this Platform. By using Odaly, you represent that you meet these requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Marketplace Services

Odaly provides a marketplace connecting buyers with sellers of B2B supplies, consulting services, and consumer products. Odaly is not a party to any transaction between buyers and sellers.

5. Seller Obligations

Sellers agree to:

  • Provide accurate listing descriptions and pricing
  • Fulfill orders in a timely manner
  • Comply with all applicable laws and regulations
  • Maintain valid business licenses where required
  • Respond to buyer inquiries within 48 hours

6. Buyer Obligations

Buyers agree to:

  • Provide accurate payment and shipping information
  • Pay for goods and services as agreed
  • Report disputes through the proper channels

7. Fees and Payments

Odaly charges a 10% commission on completed transactions. Payments are processed through Stripe. Sellers receive payouts after the applicable hold period.

8. Prohibited Content

The following are prohibited on the Platform:

  • Illegal goods or services
  • Counterfeit or stolen items
  • Weapons, drugs, or controlled substances
  • Misleading or fraudulent listings
  • Content that infringes intellectual property rights
  • Hate speech, harassment, or adult content

9. Content Moderation

All listings undergo AI-assisted moderation before publication. Odaly reserves the right to remove any content that violates these terms without notice.

10. Intellectual Property

You retain ownership of content you submit. By posting on Odaly, you grant us a non-exclusive, worldwide license to display and distribute your content on the Platform.

11. Limitation of Liability

Odaly is provided "as is" without warranties. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

12. Termination

We may suspend or terminate your account for violations of these terms. You may close your account at any time by contacting support.

13. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
